Terms of Service

1. General Terms

These Terms of Service govern the legal relationship between NotaryRoomTop and our clients for all notary and legal services. By using our services, you agree to these terms.

Scope of Application: These terms apply to all services provided by NotaryRoomTop, including document authentication, legal consultation, estate planning, and related services. Any deviating agreements require written form.

2. Service Scope

NotaryRoomTop provides comprehensive notary services for individuals and businesses of all sizes. Our service spectrum includes:

• Document Authentication: Verification of all legal documents according to Swiss notarial standards
• Legal Certifications: Preparation of certified copies and sworn translations
• Legal Consulting: Consultation on legal matters, property transfers, and international legal issues
• Estate Planning: Preparation of wills, power of attorney, and inheritance documentation
• Corporate Services: Business registration support and corporate document processing
• Legal Consultation: Strategic advice and legal development support

The specific scope of services is defined in the individual service agreement. Additional services are separately agreed upon and charged.

3. Client Obligations

For the proper delivery of our services, our clients are obligated to:

• Complete Documentation: Provide all relevant documents and information in digital or physical form
• Timely Submission: Submit documents by the agreed deadline
• Accurate Information: All information must be correct and complete
• Cooperation Duty: Active participation in queries and clarifications
• Timely Payment: Settlement of invoices within agreed payment terms

Late or incomplete provision of documents may result in additional costs that will be charged to the client.

4. Fees and Payment Terms

Compensation is based on effort (hourly rates) or fixed prices according to the individual service agreement.

• Hourly Rates: Between CHF 120 - 300 per hour depending on complexity and qualification requirements
• Fixed Packages: For recurring services as agreed
• Payment Terms: 30 days net without deduction
• Late Payment Interest: 5% p.a. for delayed payment
• Expenses: Postage, telephone, copies, and travel costs are charged separately

5. Liability and Warranty

NotaryRoomTop provides all services with utmost care and according to recognized principles of Swiss notarial law.

Liability Limitation: Liability is limited to gross negligence and intent. The amount of liability is limited to three times the annual fee, but no more than CHF 75,000.

Warranty: Defective services will be corrected free of charge if they are due to NotaryRoomTop's fault. Further claims are excluded.

6. Confidentiality and Data Protection

NotaryRoomTop commits to strict confidentiality of all client information:

• Professional Secrecy: All employees are bound to confidentiality
• Data Protection: Personal data is handled according to Swiss data protection law
• Data Security: Technical and organizational measures to protect data
• Data Retention: Storage according to legal requirements (10 years)

7. Termination and Contract Ending

The service relationship can be terminated by either party with proper notice:

• Notice Period: 3 months to the end of the month
• Extraordinary Termination: Immediate termination for important reasons
• Document Return: After full payment of all invoices
• Retention: Documents are kept for 10 years, then destroyed

8. Final Provisions

Applicable Law: Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods.

Jurisdiction: Exclusive jurisdiction is Zurich, Switzerland.

Amendments: Changes to these terms require written form. If individual provisions are invalid, the rest of the contract remains valid.

Validity: These terms come into effect on January 1, 2025, and replace all previous versions.

9. Return Policy

At NotaryRoomTop, we are committed to providing transformative notary experiences for individuals and businesses. We understand that circumstances can change, and we have established the following return policy to ensure fairness and transparency:

If you need to cancel your registration for a notary program, consultation, or training, the following conditions apply:

• Cancellation with 14+ days notice: Full refund minus 15% administrative fee
• Cancellation with 7-13 days notice: 70% refund of program fees
• Cancellation with 3-6 days notice: 40% refund of program fees
• Cancellation with less than 3 days notice: 20% refund of program fees
• No-show or cancellations after program start: No refund will be granted

For ongoing notary programs and retainer agreements:

• Monthly notary packages can be cancelled with 30 days written notice, but we do not refund prorated amounts for the current billing period
• Quarterly and annual notary agreements can be terminated with 30 days notice and prorated refunds, minus a 20% administrative fee
• Individual notary sessions require 48 hours advance notice for cancellation or rescheduling without penalty

Special considerations for our clients:

• For unexpected serious illness, family emergency, or force majeure (with documentation), we offer the option to reschedule or transfer to a future program
• We offer the option to transfer your registration to another qualified person in your organization at no additional cost
• If you are unsatisfied with a notary program, please contact us within 7 days of completion to discuss possible remedies or alternative solutions

To request a refund, please contact our client service team by phone or email. All approved refunds will be processed within 10 business days to the original payment method. For ongoing contracts, please refer to the specific terms in your notary agreement.
